Kids 4 Kids Incorporated, established since 1994, has a separate business entity: Marscom Television (ARBN L3197927). The entity has issued partnership shares which are underwritten by Kids 4 Kids, Inc. and marketed by Kids 4 Kids, Inc. for the purpose of completing the production of a film entitled "The 3rd. Millennium". Only persons, parties or entities holding shares will be a partner in the business entity, namely Marscom Television. Kids 4 Kids, Inc. assigns, without reservation, all rights and equity in and associated with the content already produced for the film to Marscom Television and affirms that there are no claims or liens upon the production content already generated.

 

Kids 4 Kids, Inc. has been filming children worldwide since 1994 who are participating in a project to assist disadvantaged children which includes the production of the film, "The 3rd, Millennium". The film production has been done by Marscom Television which has been producing and distributing documentaries worldwide since 1989. We are now in the final stages of production for which Marscom Television submitted our budget. The central theme of the film is the message of the children of one millennium to the children of the next millennium. In pursuit of their goals, the children seek help from some of the most influential people of the era.

 

One million A-class shares (non-voting) in Marscom Television, priced at one dollar each (US1.00), are issued and available to the general public in minimum purchases of 100 shares. They participate in profit to a maximum of 25% of the face value of shares purchased, per annum invested. Profits from shares held by Kids 4 Kids, Inc. will be distributed to directly assist disadvantaged children. Profit is defined as any residual from gross income after gross costs are deducted. This offer is made under Excluded Issues of Corporations Law - Section 66.

 

Three B-class shares (voting) in Marscom Television priced at one dollar each (US1.00) are issued and held by directors of Kids 4 Kids, Inc. on behalf of Kids 4 Kids, Inc. and each of those shares will participate equally with other B-class shares in any distribution of balance of profits after all A-class shares have been paid out.

 

Risks and Returns: Similarly as with other film producing bodies, it is not possible for Kids 4 Kids, Inc. or The Buyer's TV Channel to guarantee that a profit will be generated from the production of the film nor can either entity guarantee or be liable for the return of capital if the investment  makes a loss. Investors risk is limited to the amount of money invested. It must be made clear that any investment has only potential revenue which may be generated from the film to rely upon to recoup capital investment and gain a potential profit. A-class shares are to be paid out in full and in priority from profit generated by the film.

 

Investment in this issue may be claimed as a 100% tax deduction under Australian Law (Commonwealth Government Certificate No. PO5615 has been granted to Marscom Television in respect of tax deductions for investment in the production of "The 3rd. Millennium").

 

Clearly Kids 4 Kids, Inc. has enormous confidence that the film will be successful. Its with this perception that it guarantees that, if a profit is made, all A-class share investors can draw capital invested, with profit, before any distribution of capital investment or profit is made to B-class share investors.  In doing so, Kids 4 Kids, Inc. thereby confidently places at risk all equity accrued from investment to date created by filming in many countries which include the intellectual property rights and music rights to the film. Profits may be distributed over thirty six months yet, since the object of the production is to realise profits to be distributed to children in need urgently, it is in the interests of the producers to pay to investors in A-class shares as soon as possible. There are no subscription fees and no management fees - which almost all other investments of this nature have - to detract from this unique investment.

 

Kids 4 Kids, Inc. has absolute discretion to accept, accept in part, or reject any or all applications received. Offer closes June 30th., 2008 (unless closed due to over subscription or extended). Shares will be issued on June 30th., 2008. Auditing will be done by Tony Ferguson & Co. Pty. Ltd.
